ARTICLES OF ASSOCIATION We, Giorgio Gomelsky, of 140 West 24 Street, New York, NY 10011, USA, do constitute ourselves a voluntary not-for-profit association under the name THE JAY MINER SOCIETY FOR THE ADVANCEMENT OF PERSONAL COMPUTING (hereinafter referred to as "the Society") to be a worldwide association of Amiga computer owners, users, developers, dealers and ther persons of good will (hereinafter referred to collectively as "Members") who support the continuance and further development of the Amiga computer and related computer software and hardware, for the following purposes: To promote as they are able the voluntary conformance by various commercial companies, developers, and institutions to said advice, guidance, and standards by such legal means of public, private and commercial advocacy as are deemed appropriate by the Members. To search out, examine and support such research or development projects as are deemed advisable by the Members with a view to furthering the aims and tenets of the Society as set out above. To work to improve access to information and resources related to the above aims and tenets for all concerned persons, whether Members or the general public. In harmony with this desire, to the extent possible and practicable the 'Internet' and the 'World Wide Web' will be used both as a means to disseminate related information and communications, and as a means of conducting necessary business including secure and legal financial transactions. Where free or voluntary means and/or mechanisms for such matters are not available, the costs associated with such shall be considered a normal operating expense of the Society. To provide encouragement to persons and/or institutions working towards the furtherance of the goals of the Members by recognizing and honoring excellence and imagination demonstrated in related fields of endeavor. To raise funds as necessary from the membership and the community to adequately finance the functioning, maintenance and the operation of the Society, and any contributions toward such projects deemed as relevant and worthy as described above. Membership Membership to the Society shall be accorded to individuals or groups of individuals, associations, or corporations, on payment of yearly membership fees as set by the Society and to anyone contributing equivalent funds through the Society to support approved projects. Membership shall be by invitation of the Steering Committee or their Designate(s).All applications of nominations for membership shall require the approval of the Steering Committee or their Designate(s). Membership may be revoked without prejudice where this may be considered necessary to The Society for any reason by refunding the membership fee. Being a voluntary association, all members shall contribute as they are able such useful skills as they possess in furthering the aims and tenets of the Society. Governance The governance of the Society shall be vested in and its affairs managed by a board of not more than seven trustees, the initial members of which are the persons, named above, who have formed the Society. The board of trustees may select from their number 1) a Chairperson, who, by virtue of being the Chairperson, shall also be the president of the Society, 2) a treasurer, who shall be a trustee who resides in the USA, and 3) a secretary. The treasurer shall open a bank account at a bank in the USA. Whenever there is a vacancy on the board of trustees, the remaining members may appoint a replacement. These articles may be amended from time to time by the membership and the board of trustees. Authorization IN WITNESS THEREOF, each of us has signed and dated a duplicate
